Robert Half Legal Permanent Palacement is seeing a skilled transactional attorney to join our clients in Buffalo, New York . The ideal candidate will have 3-7 years of experience handling private venture investments, mergers and acquisitions (M& A), securities law, and general corporate matters. Responsibilities:
• Advise clients on private venture investments, mergers and acquisitions, and securities law matters.
• Draft, review, and negotiate a variety of contracts and transactional documents.
• Guide clients through entity formation and corporate governance processes.
• Act as outside general counsel for investment firms and high-tech companies, providing strategic legal advice.
• Ensure compliance with securities laws and regulations in all client transactions.
• Collaborate with clients to develop tailored legal strategies that align with their business goals.
• Provide legal counsel on private equity and venture capital fund formation when applicable.
• Stay updated on legal trends and regulatory changes impacting corporate and transactional law.
• Build and maintain strong client relationships with a focus on professionalism and trust.
• Active membership in the New York State Bar.
• 3-7 years of experience in transactional law, including M& A, securities law, and venture investments.
• Proven ability to advise clients on entity formation and corporate governance.
• Strong skills in drafting and negotiating contracts and other legal documents.
• Familiarity with private equity and venture capital fund formation is a plus.
• Experience working in a large corporate law firm, preferably in a major metropolitan area.
• Excellent communication and analytical skills with a client-focused mindset.
